Please read these Terms and Conditions (“Terms”, “Terms and Conditions”, “Agreement”) carefully. These Terms and Conditions constitute a legal agreement between you and QuickPOS Technologies Inc. (“QuickPOS”, “We”, “Us”, “Our”).

1. TERMS

By accessing the website located at https://quickpos.ca, installing or using our applications or software, or accessing any information, function, or service available or enabled by QuickPOS (each, a “Service” and collectively, the “Services”), you agree to accept and comply with these Terms.

2. RULES AND PROHIBITIONS

By using the Services, you agree that:

(a) You will only use the Services for lawful purposes.
(b) You will use the Services in compliance with all applicable laws.
(c) You will only access the Services through means explicitly authorized by QuickPOS.
(d) You will not use another User’s account.
(e) You will not use the Services to cause nuisance, annoyance, or inconvenience.
(f) You will not use the Services for any commercial purpose unless permitted.
(g) You will not copy or distribute the Software or any content displayed through the Services.
(h) You will not compile content for non-personal use.

3. MERCHANTS AND FOOD SAFETY

QuickPOS provides Services that connect you with independent food service providers and vendors (“Merchants”). You acknowledge that QuickPOS neither prepares food nor offers delivery services.

4. COMMUNICATIONS

By creating an account or providing your contact information when using the Services, you agree to receive communications from QuickPOS and our Merchants regarding your orders. In accordance with Canada’s Anti-Spam Legislation (CASL), you may opt-out of marketing-related communications at any time by using the "unsubscribe" link provided in our emails or by contacting us directly.

5. PAYMENT TERMS

(a) Prices. Prices for items displayed through the Services may differ from prices published by Merchants elsewhere.

(b) No Refunds. Charges for completed and delivered orders are final and non-refundable. QuickPOS reserves the right to rectify pricing errors at any time.

(c) Promotional Offers. QuickPOS may, at its sole discretion, offer promotions with different features and rates to any User.

(d) Fees. QuickPOS may change the fees for its Services as necessary with notice provided via the Application or Website.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, QuickPOS shall not be liable for any indirect, incidental, or consequential damages.

7. INDEMNIFICATION

You agree to indemnify and hold harmless QuickPOS Technologies Inc., its officers, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of the rights of any third party or Merchant.

8. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved exclusively in the courts located in Toronto, Ontario.

9. MODIFICATIONS AND TERMINATION

We reserve the right to modify these Terms at any time. We also reserve the right to suspend or terminate your access to the Services, without notice, for conduct that we believe violates these Terms or is harmful to our business interests or other users.
